Pre-IPO investing is buying unlisted equity shares of the company prior to itsinitial public offering(IPO). These are either primary shares, issued by the company or sold by private equity investors, employee shareholders or other HNIs.
Sometimes stacking unlisted shares can give you lucrative returns over time. Many young companies ... grow much faster than their listed peers due to their lower base hence they tend to significantly outperform the benchmark returns, however, a lot of this growth happens before the company goes public with an IPO, hence participating in such companies in the Growth / Pre-IPO stage can provide superior returns to the investor.
For Instance, equity shares of ICICI Prudential Life Insurance Ltd. were listed at 330 on Sept. 29, 2016 however; these werebeing traded at Rs.125 in 2013. Similarly RBL Bank Ltd. and HDFC Asset Management Co. Ltd, etc. have added alot of value to Pre-IPO investors.
The figures show the potential to make money in unlisted stocks but these securities are illiquid in nature with wider spread between bid and ask prices, further, amongst other things, the risk appetite and investment horizon of the investor needs to be assessed thoroughly owing to relatively higher risk.
Investors must be mindful that, as per SEBI regulations, pre-IPO exposures come with a lock-in of one year from the date of listing of such shares.
